4. STRUCTURE OF THE ASSOCIATION AND ADMINISTRATIVE ORGANS

The Supreme Organ of the Association is the annual general meeting of the members convoked by the Board.
The members of the Association are notified about decision of the Board concerning the Conference and discussing problems not in less than 15 days before the beginning of the Conference.
The Conference is available if more than 2/3 members presence of the Conference.
The Conference of the members of the Association:
-approves the Charter of the Association, makes changes and supplements;
-defines main directions of the activity of the Association;
-elects the Board of the Association;
-elects the President, control-revision commission, editor of the publication organ;
-hears and discusses the reports of the Board, President, control-revision commission, and other election organs and officials if it is necessary;
-receives the resignation of the election organs and officials of the Association, recalls them a head of schedule.
The extraordinary conference can be convoked by the Board, President, control-revision commission or by requirement of 1/4 part of the members of the Association.
The requirement about convocation the extraordinary conference is considered by the Board during 10 days from the date of written appeal and carried out during 15 days from the date of decision about convocation of the extraordinary conference.
The decisions concerning first part of item 4.3 of the present charter are received by the majority of votes (about 3/4), and the decisions concerning the other parts are received on the base of common majority of votes.
At the period between the conferences the activity of the Association is administered by the Board. Number of the members of the Board is determined by the Conference.
The Board includes the President elected by the Conference and the members of the Board.
The meetings of the Board are convocated in cases of need, but not in less than once per mouth.

The Board:
-elects vice-president from the members of the Board on the President/s presentation;
-forms committees and commissions of the Board;
-approves budget, list of staff and salaries of the officials;
-receives decisions on all problems, except the problems that are included in competence of the Conference.
The Conference in accordance with its decision can pass the part of its authorities to the Board.
The current activity is administered by the President of the Association.
The President is elected by the Conference on the base of the secret ballot (with the right of repeated election) for 3 years period.

The President of the Association:
-represents the Association, concludes agreements on behalf of the Association in accordance with approval of the Board, disposes of property of the Association, including financial resources;
-supervises activity of the Board,
-gives orders concerning the current activity of the Association;
--hires and fires workers;
-carries out other functions assigned to him by the Constitution of the Azerbaijan Republic.
At the absence of the President his authorities are carried out by the vice-president. Vice-president is elected from the Board according to the President/s presentation.
The control-revision commission supervises the accordance between activities of elected organs, officials, members of Association and the Charter, supervises the financial activity of the Association.
The number of members of the control-revision commision is defined by the Conference.
The control-revision commission considers and responds for the applications of organs and members of the Association during one month.
